Terms of Service

1. Agreement to terms

1.1 Legally binding contract These Terms of Service ("Terms") constitute a binding agreement between you, whether as an individual or on behalf of an entity ("you"), and Justify Ltd ("Justify", "we", "us", "our"). These Terms govern your access to and use of our platform at justify.app and its subdomains, and any related services or applications (collectively, the "Services").

1.2 Service description Justify provides influencer marketing intelligence, campaign management, brand measurement, creative testing, and related services. The Services are supplied to business users; if you register as a consumer, your statutory rights still apply.

1.3 Acceptance of terms By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must discontinue use immediately.

1.4 Updates to terms We may modify these Terms at any time. We will provide at least 30 days' notice of material changes via the email address associated with your account. Your continued use after the notice period constitutes acceptance.

2. Intellectual property rights

2.1 Ownership All text, graphics, software, designs, logos, images, and other content available on the Services ("Site Content") is owned or licensed by Justify and protected by intellectual property laws. Unless explicitly stated, Justify (or its licensors) retains all rights, title, and interest.

2.2 Your data You retain all rights in data you upload to or create within the Services ("Customer Data"). You grant us a licence to process Customer Data solely to provide and improve the Services.

2.3 Limited licence Subject to compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for your internal business purposes. No other rights or licences are granted.

2.4 Restrictions You agree not to reproduce, distribute, create derivative works of, publicly display, republish, download, store, or transmit any Site Content, except as facilitated by the functionality of the Services (e.g. data exports, report downloads) or with our prior written consent.

3. User representations

By using the Services, you represent and warrant that:

  • Legal capacity: You have the legal right and authority to enter into these Terms on your own behalf or on behalf of the entity you represent.
  • Accurate information: All account information you provide is current, complete, and truthful.
  • Lawful use: You will comply with all applicable laws and regulations. You may not use the Services if you are on any UK or US sanctions list.
  • No violation: Your use does not violate any contract or legal obligation you are bound to.

If any provided information is untrue or incomplete, we may suspend or terminate your account in accordance with Section 7.3.

4. Prohibited activities

You agree not to:

  • Use the Services in a manner that violates any applicable law or regulation.
  • Attempt to gain unauthorised access to our systems, user accounts, or data, including data scraping or reverse engineering.
  • Upload or transmit viruses, worms, or other harmful components.
  • Misrepresent your identity or impersonate others.
  • Breach third-party rights, including intellectual property, privacy, or publicity rights.

We may investigate suspected violations and take proportionate action, including reporting unlawful conduct to law enforcement.

5. Artificial intelligence

Certain features use artificial intelligence to generate analysis, recommendations, scores, and content. You acknowledge that:

  • AI outputs are supplementary and may not be accurate, complete, or suitable for any particular purpose. You are responsible for reviewing and verifying AI-generated content before relying on it.
  • Data you enter into AI-powered features may be processed by third-party AI providers (see our Privacy Policy for details).
  • You must not input sensitive personal data (e.g. health records, financial account numbers) into AI-powered features unless the feature expressly requests it.

6. Privacy and data protection

6.1 Your use of the Services is governed by our Privacy Policy, Cookie Policy, and Sub-Processors, which are incorporated into these Terms by reference.

6.2 We comply with the UK General Data Protection Regulation (UK GDPR) and related legislation. Where we transfer data outside the UK, we ensure appropriate safeguards are in place.

6.3 Where you act as a controller and we process personal data on your behalf, a Data Processing Agreement is available on request.

7. Site management

7.1 Monitoring We may monitor the Services for conduct that violates these Terms, and may remove or disable content or accounts at our discretion.

7.2 Modifications We may modify or discontinue features of the Services. Where a change materially reduces the functionality you have contracted for, we will provide reasonable prior notice.

7.3 Suspension and termination We may suspend your account immediately where we reasonably believe you have materially breached these Terms. Where the breach is remediable, we will provide 14 days' notice to cure. Either party may terminate for convenience on 30 days' written notice.

7.4 Data on termination Upon termination by either party, your data will remain available for export for 30 days, after which it will be deleted in accordance with our Privacy Policy.

8. Disclaimers

8.1 The Services are provided on an "as-is" and "as-available" basis. We make no representations or warranties of any kind as to operation, content, or results.

8.2 To the fullest extent permitted by law, Justify disclaims all warranties, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

8.3 Third-party content or links are provided for convenience only. We do not endorse or accept responsibility for third-party services or content.

8.4 Uptime target We aim to keep the Services available 99% of each calendar month, excluding planned maintenance (notified at least 24 hours in advance) and events outside our reasonable control.

8.5 Intellectual property indemnity We will defend you against third-party claims alleging that your permitted use of the Services infringes the claimant's intellectual property rights, and will indemnify you against damages finally awarded, provided you give us prompt notice and reasonable cooperation.

9. Limitation of liability

9.1 To the extent permitted by law, Justify shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, even if advised of the possibility.

9.2 Our total liability for all claims arising from these Terms shall not exceed the higher of £1,000 or the fees you paid us in the previous 12 months.

9.3 Some jurisdictions do not allow limitations on implied warranties or exclusion of certain damages. Where these laws apply, some of the above may not apply to you.

10. Dispute resolution

10.1 We encourage you to contact us first via our in-app chat to resolve any disputes informally.

10.2 These Terms are governed by and construed in accordance with the laws of England and Wales. Any dispute shall be subject to the exclusive jurisdiction of the courts of England.

11. Refunds and cancellations

If you purchase online as a consumer, you have 14 days to cancel unless you choose to access the Services immediately, in which case the cooling-off right is waived in accordance with applicable regulations.

11.1 Paid services Refund and cancellation policies are outlined at the time of purchase. Fees are generally non-refundable once charged, unless otherwise stated.

11.2 Billing enquiries For questions about billing, fees, or refunds, contact us via our in-app chat.

11.3 Renewal and cancellation Monthly plans renew every month; you can cancel anytime before the next billing date. Annual plans are billed for a full 12-month term and renew unless you turn off auto-renewal at least 30 days before the renewal date.

13. General provisions

13.1 Entire agreement These Terms, our Privacy Policy, Cookie Policy, Sub-Processors page, and any additional policies posted on the Services constitute the entire agreement between you and Justify.

13.2 Severability If any provision is deemed unlawful or unenforceable, it is severable and does not affect the remaining provisions.

13.3 No waiver Failure to enforce any right or provision shall not constitute a waiver.

13.4 Assignment We may assign these Terms in connection with a merger, acquisition, or sale of substantially all of our assets, provided the assignee agrees to be bound by these Terms. You may not assign your rights without our prior written consent.

13.5 Headings Section headings are for convenience only and have no legal effect.

13.6 Notices Notices under these Terms will be sent to the email address associated with your account and are deemed received 24 hours after dispatch.

13.7 Force majeure We are not liable for delay or failure caused by events beyond our reasonable control.

By using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms.
